We do not make any representations or warranties concerning, and will not in any way be liable for, any informational content, products, services, software, or other materials available through third parties. Your use of third parties’ services and/or third party websites is governed by and subject to the terms and conditions of those third parties and/or third party websites. DISCLOSING YOUR PERSONAL DATA

The PII that we collect about you and your use of our Website and Services is an important part of our business. We respect and value you as a Website visitor and customer and will not jeopardize the free flow of information between us. We will not sell your personal data that we collect and store to other websites or businesses. We may, however, disclose some of your PII to third parties for legitimate business purposes in the furtherance of our Services as outlined immediately below.

Disclosure Regarding Service Providers: Kelley may provide your PII or Deidentified Information to our service providers or third party companies, including logistics providers and other less-than-truckload carriers, to help provide services to you for certain business purposes. This PII and Deidentified Information is disclosed in order for them to provide services such as payment processing, tracking services, advertising services, marketing services, web analytics, data processing, IT services, customer support and other services. These service providers or third parties may have access to your PII and Deidentified Information to help us provide a particular service to you. They are bound by confidentiality obligations, contractually required to have appropriate technical and organizational measures in place to protect your information, and will only have access to the information necessary to complete their respective service.

Disclosure Regarding Law Enforcement, Safety, and Legal Processes: Kelley may disclose account information and other PII to comply with a law, regulation, or governmental request; respond to a subpoena; prevent illegal content, fraud or abuse; or protect the rights, property or safety of our Website, our users or others. We may exchange PII with other companies and organizations for fraud protection and credit risk reduction. Kelley will not under any circumstances sell, rent, share, or otherwise disclose PII for commercial purposes in violation of the commitments set forth in this Privacy Policy.

Disclosure Regarding Sale or Acquisition of Assets: If we choose to sell or merge any part of our business, we may share and/or transfer customer information, which may include your personal data, in connection with the evaluation of and entry into such transactions. Also, if we (or our assets) are acquired, or if we go out of business, enter bankruptcy, or go through some other change of control, certain information, including your PII, could be transferred to or acquired by a third party.

INFORMATION SECURITY AND PROTECTION OF YOUR PERSONAL INFORMATION

Securing your PII is very important to Kelley, and we maintain physical, electronic and procedural safeguards to protect it. We use security measures, such as firewalls and encryption technology, consistent with industry standards to safeguard against loss, theft, unauthorized access, destruction, use, modification and/or disclosure. The PII we collect is stored within databases that we control directly or through our service providers. However, as “perfect security” does not exist on the Internet, and since no security system is impenetrable, Kelley does not guarantee the absolute security of our databases, and we cannot guarantee the security of your PII transmitted to our Website; any transmission is at your own risk. Be advised that any information you choose to post on any message board, discussion group or other public posting area on our Website is available to anyone with Internet access.

If you create an account on our Website, you may be asked to select and use a password and provide and maintain accurate and current information about you and your organization. You should protect your password by not disclosing it to any other person, limiting access to others of your computer or device and browser and by signing off after you have finished accessing your account. If you want to change your password, you may do so by accessing your account settings and following the relevant prompts.

You are responsible for maintaining the confidentiality of your password and account and are fully responsible for all activities that occur under your password or account. You will notify Kelley immediately of any unauthorized use of your account or password or any other breach of security.

THIRD-PARTY USE OF COOKIES

Some content or applications, including advertisements, on our Website are served by third-parties, including advertisers, ad networks and servers, content providers, and application providers. These third parties may use cookies alone or in conjunction with web beacons or other tracking technologies to collect information about you when you use our Website. The information they collect may be associated with your PII or they may collect information, including PII, about your online activities over time and across different websites and other online services. They may use this information to provide you with interest-based (behavioral) advertising or other targeted content.

We do not control these third parties' tracking technologies or how they may be used. If you have any questions about an advertisement or other targeted content, you should contact the responsible provider directly.

YOUR PRIVACY RIGHTS AND CHOICES REGARDING ACCESS OF INFORMATION

Accessing, Updating, or Controlling Information: You can access, update, change, delete or otherwise control your PII through your account settings or by contacting us at the Contact Information provided below.

If you do not wish for us to share your PII with third parties working on our behalf to serve our users, please send your request to the Contact Information provided below. You may also unsubscribe from our marketing emails by clicking the appropriate link in the email correspondence we send you. You cannot waive the applicability of the Website’s Term of Use and other legal notices, such as this Privacy Policy, and if you elect not to receive those notices, they will still govern your use of our Website, and it is your responsibility to review them for changes.

Cookie Choices: You may disable the use of cookies by modifying your browser settings. However, rejecting the use of cookies means that you will not be able to use certain important features of our Website. You are cautioned, however, that the collection of PII submitted in an e-mail, electronically or through our Website or Services will be treated as though it was submitted by an adult, and may, unless exempted from access by Federal or State law, be subject to public access. If you have a child under 18 who you believe submitted PII and would like it removed, please contact us at webprivacy@kelleylogistics.com.

CALIFORNIA PRIVACY RIGHTS

California’s “Shine the Light” law permits users of our Website that are California residents to request certain information regarding our disclosure of PII to third parties for their direct marketing purposes. To make such a request, please contact us at the Contact Information provided below.

To provide you with certain services, including tracking services related to your shipments, it may be necessary for us to share information related to your shipment, including your name and address, the destination name and address, and the type of shipment, with our service providers located outside of the United States. In the event we transfer such information, which may include PII, outside of the United States, we will take commercially reasonable measures to ensure the transfer complies with applicable data protection laws and the information is securely transferred.

Some internet browsers may transmit “do-not-track” signals to websites with which the browser communicates. Our Website does not currently respond to these “do-not-track” signals.

SPAM

We do not participate in bulk email solicitations that you have not consented to receiving (i.e., “Spam”). We do not sell or disclose customer lists or email address lists to unrelated third parties. Except as otherwise provided herein, we do not share PII with any third party advertisers.

CONSENT, CONDITIONS OF USE, NOTICES AND REVISIONS

By using our Website or Services, or by otherwise communicating with us online, you consent to our collection and use of your PII as set forth in this Privacy Policy. Your visit to our Website or use of our Services and any dispute over privacy is subject to our Website’s Term of Use, including limitations on damages and application of the law of the State of Ohio.
